The Flat World Network Inc. – Terms of Service

Welcome to The Flat World Network Inc. (“we, us, our”). These Terms of Service (“Terms”) govern your use of our website, newsletter, podcast, and professional services (collectively, the “Services”). By accessing or using our Services, you agree to these Terms.
1. Acceptance of Terms
By accessing our website, subscribing to our newsletter or podcast, requesting a free audit, or signing a Service Agreement, you confirm you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our Services.
2. Description of Services
We offer:
- Free Account Audits (one-time, no obligation)
- Amazon Managed Services (initial 6- or 12-month commitment, then month-to-month)
- Listing Optimization, Launch & Rank, PPC & DSP Management, Inventory & Logistics, Customer Service, PR & Content Marketing, Online Coaching (all month-to-month or project-based)
- Newsletter & Podcast: Regular industry insights, tips, and interviews. Subscribing is free; opt-out anytime.
Full details, deliverables, and fees for each paid Service are set out in your Proposal or Statement of Work (“SOW”).
3. Free Audit
You may request a complimentary audit of your Amazon account or specific service area via our website form. Audit scope and deliverables are defined on that form. Receipt of a free audit does not obligate you to purchase additional Services.
4. Engagement & Onboarding
- Proposal & SOW: Paid Services begin only after you approve and sign your SOW and pay any required deposit.
- Permissions: For Amazon services, you grant us limited user permissions in Seller Central. You remain the sole account owner.
- Kickoff: We’ll schedule an onboarding call, define success metrics, and—if requested—deliver your free audit findings.
- Fees & Payment
- Recurring Services: Billed monthly in advance.
- Initial Term: 6- or 12-month minimum for Managed Services, thereafter month-to-month with 30-day cancellation.
- A la Carte / Projects: Month-to-month or as specified in SOW.
- Payment Methods: Credit card, ACH, or as agreed.
- Late Fees: 1.5% monthly interest on balances overdue by 7+ days; we may suspend Services until paid.
6. Term & Termination
- Term: Per your SOW.
- Cancellation: After any initial term, terminate with 30 days’ written notice.
- For Cause: Immediate termination if a material breach isn’t cured within 10 days of notice.
- Post-Termination: You pay all outstanding fees; we return or destroy your confidential materials.
7. Intellectual Property
- Our Materials: We retain rights in methodologies, templates, reports, and creative work we produce.
- Your Materials: You retain rights in your trademarks, data, and content.
- License: You receive a non-exclusive license to use Our Materials solely to benefit from the Services.
8. Confidentiality
Each party keeps the other’s confidential information secret and uses it only to perform under these Terms. Exceptions: information that is public, rightfully received from a third party, or independently developed.
9. No Affiliation with Amazon™
The Flat World Network Inc. is an independent service provider and is not affiliated with, sponsored by, endorsed by, or connected to Amazon.com, Inc. or its affiliates (“Amazon™”). All product and company names are trademarks™ or registered trademarks® of their respective holders. Use of the word “Amazon” on our site is for descriptive purposes only and does not imply any affiliation with or endorsement by Amazon.
10. Newsletter & Podcast Content
Our newsletter and podcast content is provided “as-is” for informational purposes. You may unsubscribe at any time. We retain all rights to our editorial content; you may share links but not reproduce episodes or articles without permission.
11. Disclaimers & Limitation of Liability
- No Performance Guarantees: We use best practices but do not guarantee specific sales or rankings.
- Your Responsibility: You remain responsible for compliance with Amazon’s policies.
- Liability Cap: Except for willful misconduct or gross negligence, our liability is capped at the fees you paid in the 6 months before a claim.
- No Indirect Damages: We’re not liable for lost profits, consequential, or punitive damages.
12. Indemnification
You indemnify and hold us harmless from third-party claims arising from your breach of these Terms or your violation of laws or Amazon’s terms.
13. Governing Law & Dispute Resolution
These Terms are governed by Ontario, Canada law. Disputes go to binding arbitration in Toronto under the ADR Institute of Canada rules.
14. Changes to Terms
We may update these Terms; we’ll post revisions with a new “Last updated” date. Continued use constitutes acceptance.
15. Entire Agreement
These Terms, along with your SOW and our Privacy Policy, form the full agreement between us.
